WhereasPartyAlegallyowns25%Stockholder\'sRightsofQINGDAONOKWOOBEANJAMMANUFACTURINGCO.，LTD(hereafterreferstoas"theCompany"),whichisregisteredinQingdao.Now,PartyAintendstosellthelegally-owned25%Stockholder\'sRightsoftheCompany.And,PartyBintendstobuythewholeofthe25%Stockholder\'sRightswhichheldbyPartyA.Adheringtotheprincipalsofequalityandmutualbenefit,thetwopartieshavereachedthefollowingagreementafterfriendlyconsultationsregardingthesharetransftermatters:
1、PartyAagreestotransferthe25%(Value102USdollars)Stockholder\'sRightsoftheCompanytoPartyBOne-time.PartyBagreestotransfereethe25%share.
2、PartyAandPartyBbothagreethatthetransferpricesofthe25%Stockholder\'sRightsis2,700,000yuanRMB,whichisequalto327,000USdollars.Afterthesigningofthisagreementwithin3days,PartyBmustpay2,000,000yuanRMBtoPartyAbycheckway.AftertheBusinessLicenserenewal,within10days,thebalanceof700,000yuanRMBispayedtoPartyAfromPartyB.
3、Afterthesigningofthisagreement,bothPartyAandPartyB\'sShareholdersstatusintheCompanywillhaveachange.PartyBisthestockholderoftheCompany,enjoyingtheshareholder\'srightsandtheduty.ButPartyAnolongerenjoysanyrightsandthedutyintheCompany.
、ResponsibilityofBreachofContract:
PartyA\'sResponsibility:IfpartyAbreaksitspromiseorPartyA\'sreasoncausesthisagreementtobeunabletocarryout,PartyAshouldcompensatePartyB13,500yuanRMB(BiaoDiE’s0.5%).
PartyB\'sResponsibility:IfPartyBcannotfullypaythedealswiththefundtoPartyAinthestipulationtime,thenPartyBshouldpayliquidateddamagestoPartyA.Theliquidateddamagesisdeterminedbythedailyamountofarrears’0.5%.
