Article1Definitions
1.1“Acceptance”meanstheBuyeracceptedtheEquipmentinaccordancewithArticle11.5.
1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle11.4forthepurposeofcarryingoutPerformanceTest.
1.3“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.
1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendi_1.
1.5“DestinationAirport”refersto_____________Airport.
1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.
1.7“Equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendi_3.
1.8“Erection”meansplacingtheEquipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.
1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.
1.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namely____.
1.11“Know-how”referstoanyvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufactureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunknowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbytheSellerforkeepingKnow-howinsecrecy.ThespecificdescriptionofKnow-howissetforthinAppendi_3.
1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached____()percentofthetotalEquipmentprice.
1.13“Patent”referstoanyandalloftheeffectivepatentrightspossessedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwiththeErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendi_3.
1.14“PerformanceTest”meansthetestsfore_aminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendi_1.
1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsande_planationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendi_4.
1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSellerasperAppendi_6.
1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendi_7.
1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.
1.19“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.
Article2ScopeoftheContract
2.1TheSeller’sObligation
2.1.1TheSellershallsupplytheEquipment,providethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orKnow-howassetforthintheContract.
2.1.2TheSellershallsupplytheEquipmentwhichislistedinAppendi_3,thespecificationisdetailedinAppendi_1.
2.1.3TheSellershallprovidedesigninaccordancewithAppendi_5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendi_4.
2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendi_6.
2.1.5TheSellershallconducttheTechnicalTrainingasperAppendi_7.
2.2TheBuyer’sObligation
2.2.1TheBuyershallathisowncostsande_penses,providetheSellerwithallinformationanddataconcerningthedesignasperAppendi_2.TheBuyershallensurethecompleteness,correctnessandaccuracyofallsuchinformationanddata.
2.2.2TheBuyershallathisowncostsande_penses,obtainallnecessaryimportpermits,undertakecustomsclearance,takedeliveryoftheEquipmenttobesuppliedbytheSellerandtransportthemtotheJobSiteintime.
2.2.3TheBuyershallathisowncostsande_penses,performallthecivilworks,construction,Erection,TestRun，CommissioningandPerformanceTestinaccordancewiththeTechnicalDocumentationundertheTechnicalServicesrenderedbytheSellerasperAppendi_6.
2.2.4TheBuyershallathisowncostsande_penses,supplyalltheequipments,sparepartsandfacilitiesrequired,e_ceptfortheEquipmentsuppliedbytheSellerasperAppendi_3.
2.2.5TheBuyershallathisowncostsande_penses,providethequalifiedandappropriatetechnicalpersonnel,labor,tools,utilitiesandtheJobSiteintimeforErection,TestRun,Commissioning,andPerformanceTestasspecifiedinAppendi_2.
2.2.6TheBuyershallathisowncostsande_penses,performnecessaryadministrationandsecurityguardattheJobSite.
Article3GrantofLicense
3.1TheSelleragreestogranttotheBuyerandtheBuyeragreestoobtainfromtheSelleralicensetomanufacturetheContractProductsaswellastoconductErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipmentwithPatentand/orKnow-howaswellastouseandselltheContractProducts.Thename,model,specification,andtechnicaldataoftheContractProductsaredetailedinAppendi_1.TheBuyershallnotmakeuseofPatentand/orKnow-howforanypurposesotherthanthosestipulatedintheContractwithoutpriorwrittenapprovalfromtheSeller.TheannualoutputoftheContractProductsmanufacturedbytheBuyershallinnocasee_ceed_______________.
3.2(Option1)ThelicensegrantedundertheContractshallbeane_clusivelicense.TheSellershallnotretainitsrighttograntthelicensestoanythirdparties,ortoe_plorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4.
(Option2)ThelicensegrantedundertheContractshallbeanon-e_clusivelicense.TheSellershallretainitsrighttograntthelicensestoanythirdparties,andtoe_plorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4.
3.3ThelicensegrantedundertheContractshallbeanon-transferableandnon-sublicensinglicense,underwhichtheBuyershallneitherbeentitledtotransfernorgrantsub-licensetoanythirdpartywithoutpriorwrittenapprovalfromtheSeller.
3.4Territory
3.4.1TheSelleragreestograntthelicensetotheBuyeronlywithintheterritoryof_________________(countryorregion).TheBuyershallnote_plorePatentand/orKnow-howinanyplaceotherthantheJobSitewithoutpreviouswrittenconsentoftheSeller.
3.4.2TheSelleragreestograntalicensetotheBuyertouseandselltheContractProductsonlywithintheterritoryof________________________(Countryorregion).IncasetheBuyerfailstoperformitsobligationsunderthisClause,alltheactuallossesanddamagesthusincurredtotheSellershallbebornebytheBuyer,andtheSellershallhavetherighttoterminatetheContractwithoutprejudicetoanyremediesspecifiedintheContract.

4.1TheBuyeragreestopaythetotalContractprice,TechnicalTrainingandTechnicalServicefeetotheSeller.

4.2.1ThetotalContractpricefortheEquipmentisfordeliveryCIF_____Port,andtheTechnicalDocumentationsisfordeliveryCIP(byair)______Airport.CIFandCIPtermshallbeinterpretedinaccordancewithINCOTERMS2000,issuedbytheINTERNATIONALCHAMBEROFCOMMERCE(ICC).
4.2.2ThetotalContractpriceincludesthepriceforsparepartslistedinAppendi_3.However,thetotalContractpricedoesnotcoverthesupplyofanyotherspareparts.AttheBuyer’srequest,theSellermayprovidewithanyotherspareparts.Aseparateagreementshallbesignedbetweentheparties.
4.2.3Theabovepriceisfi_edandfirm.
4.3ThetotalContractpricedoesnotcovertheTechnicalServicefeeandTechnicalTrainingfeespecifiedinAppendi_6,7.
4.4ThetotalContractpriceaswellastheTechnicalTrainingandTechnicalServicefeeshallnotberegardedorinanywaybee_plainedorinterpretedascoveringanyofthecustomduties,ta_es,orcharges,fees,ande_pensesunlesse_presslylistedintheContract.

6.1.1ThedeliveryoftheEquipmentlistedinAppendi_3shallbecompletedwithin____()monthsfromtheEffectiveDateoftheContract.
6.1.2Within____()monthsaftertheEffectiveDateoftheContract,theSellershallsendtotheBuyerapreliminarydeliveryschedulebyfa_.
Notlaterthan____()daysbeforethefirstshipment,theSellershallsubmittotheBuyerthefinaldeliveryscheduleinthree(3)copiesindicatingContractnumber,dispatchnumber,nameoftheEquipment,quantity,appro_imatedimensions,volumeofeachpackageandtimeofeachshipment.
6.1.3Theportofshipmentis____,whiletheportofdestinationis____.
6.1.4Advanceshipment,partialshipmentandtransshipmentareallowed,however,theSellershallinformtheBuyerthirty(30)daysbeforesuchshipment.

6.2TheLateDeliveryoftheEquipment
6.2.1IftheSellerfailstodelivertheEquipmentinaccordancewiththefinaldeliveryschedule,theSellershallpaytotheBuyerliquidateddamagesforsuchdelayatthefollowingrates:

6.3.1TheTechnicalDocumentationlistedinAppendi_4shallbedeliveredCIP____airportbyairwithin____()monthsaftertheEffectiveDateoftheContract.
6.3.2ThedateofairwaybillshallberegardedastheactualdeliverydateoftheTechnicalDocumentation.
6.3.3Within____()workingdaysaftersendingeachlotoftheTechnicalDocumentation,theSellershallinformtheBuyeroftheContractnumber,itemnumber,numberanddateofairwaybillandtheflight.
6.3.4Incaseofshortage,lossofordamagetotheTechnicalDocumentationduetotheSeller’sreason,theSellershallmakesupplementtotheBuyerwithin____()daysafterreceivingtheBuyer’swrittennotificationwithoutanyfurthercharge.

7.1TheEquipmentshallbepackedtowithstandlongdistancetransportation,multiplehandling.

7.3Eachpackageshallcontainone(1)copyofpackinglist.
7.4TheSellershallmarkonthepackage,ifnecessary,“HandlewithCare",“RightSideUp",“Fragile"orotherindicativemarksaccordingtothecharacteristicsandfeatureofthegoodsaswellasdifferentrequirementfortransportation,loadingandunloadingofthegoods.
7.5Ifthegoodsweighthree(3)ormorethanthree(3)metrictons,gravity,hoistingpositionandillustrativemarksshallbemarkedsoastofacilitateloading,unloadingandhanding.
7.6AllTechnicalDocumentationprovidedbytheSellershallbeproperlypackedtowithstandlongdistancetransportationandmultiplehandling.Thesurfaceofeachpackageshallbemarkedwiththefollowingwords:

Article8TechnicalServiceandTechnicalTraining
8.1TheSellershalldispatchtechnicalpersonneltoJobSitetorenderTechnicalServiceinaccordancewithContractaccordingtoatimescheduleagreeduponbetweenbothparties.Thenumber,specialty,rank,treatmentofthepersonnel,andpaymentaswellasthecontents,andrequirementsofTechnicalServicearespecifiedinAppendi_6.
8.2TheBuyershallhavetherighttosenditstechnicalpersonneltotherelevantfactoryselectedbytheSellerfortraining.Thenumber,speciality,treatmentofthepersonnel,andpaymentaswellasthecontents,timeschedule,andrequirementoftraining,arespecifiedinAppendi_7.
8.3Eitherpartyshallprovideassistancetotheotherparty’stechnicalpersonnelintheirapplicationforvisa,workingpermit,and/orothernecessaryformalitiesforrenderingTechnicalServiceortrainingundertheContractintheotherparty’sfactory.
8.4EitherParty’stechnicalpersonnelshallabidebythelawsoftheotherparty’scountryandtheregulationsoftheotherpartyduringtheirstayintheotherparty’scountry.
Article9StandardsandInspection
9.1TheSellershallcarryoutthedesign,manufacture,inspectionandtestoftheEquipmentaccordingtothee_istingstandardsofthePeople’sRepublicofChina,namelyGB.
9.2TheSellerorthemanufacturershall,athisowncostsande_penses,inspecttheEquipmentandissuethee_-workqualitycertificate.
9.3Theopen-caseinspectionoftheEquipmentshallbeperformedbytheBuyerinthepresenceoftheSeller’srepresentativesontheJobSiteindaysafterthearrivaloftheEquipmentattheJobSite.Theopen-caseinspectionfeeshallbebornebytheBuyer.
TheBuyershallinformtheSellerofthedateone(1)monthbeforethedateofopencaseinspectionandshallalsorenderassistancetotheSeller’srepresentativesintheirinspectionwork.
9.4Duringthejointopen-caseinspection,adetailedinspectionrecordshallbemadeandsignedbytherepresentativesofbothparties.
IncasetheSellerisresponsibleforanydefectorshortageoftheEquipment,theinspectionrecordshallbetakenasaneffectiveevidencefortheBuyertoclaimrepair,replacementorsupplementtotheSeller.AnyofsuchclaimsshallbelodgedbytheBuyerwithinmonth(s)afterthearrivaloftheEquipmentattheJobSite.
9.5Ifanyshortage,defectofordamagetotheEquipmentisfoundinopen-caseinspectionnotattributabletotheSeller’sresponsibility,theSellershallmakerepair,replacementorsupplementattheBuyer’se_pensesinaccordancewiththeseparateagreementsignedbybothparties.
9.6TheBuyerisnotentitledtoopenthecase,assembleand/ordisassembletheEquipmentwithouttheSeller’spriorwrittenconsent.
IfthereisnojointopencaseinspectionduetothereasonsnotattributabletotheSeller,thequantityandapparentqualityoftheEquipmentshallbedeemedcorrectandinperfectcondition.
Article10DesignandDesignLiaison
10.1TheBuyershallprovidetotheSellerwithin____()daysaftertheEffectiveDateoftheContract,allthedesigndatawhichshallbetakenasthedesignbasis.TheSellershallnotbeliabletotheBuyerfor,andtheBuyershallindemnifytheSellerandholdtheSellerharmlessfromanydamagesorfailurecausedbytheincompleteness,incorrectnessand/orinaccuracyofanysuchinformationanddata.
10.2Adesignliaisonmeetingshallbeheldinthe____()monthafterreceivingabovementioneddesigndata,theSellerwilldispatchhistechnicalpersonneltotheJobSitetoparticipateinthemeeting.Duringthemeetingperiod,theSellerwilldiscusswiththeBuyertherelevantdesigndetails.Bothpartiesshallsignanagreementoutliningthedesigndetails.
10.3Duringthedesignliaisonmeeting,theSellerandtheBuyershallprovideassistancetotheother’sdispatchedpersonnelinarrangingentryvisastotherespectivecountries.Thee_penseincurredonthedispatchedpersonnelshallbebornebythepartyrespectively.
Article11Erection,TestRun,Commissioning,PerformanceTestandAcceptance
11.1TheErection,TestRun,Commissioning,PerformanceTestshallbeconductedbytheBuyer.
11.2ChiefRepresentatives
11.2.1Eachpartyshallnominateone(1)ChiefRepresentativetodealwiththetechnicalmattersduringtheperiodfromthestartoftheErectiontoAcceptanceoftheEquipment.
11.2.2DetailedarrangementsshallbemadethroughfriendlydiscussionsbytheChiefRepresentativesofbothparties.TheChiefRepresentativesofbothpartiesshallfullycooperatetocarryouttheirdutiesstipulatedintheContract,howevertheyhavenorighttorevise,alteroramendtheContractwithoutthewrittenauthorizationofbothparties.
11.2.3TheChiefRepresentativesofbothpartiesshallcommunicatethroughLinkingSheetforthemattersrelativetoopinions,suggestionsandinformation.Thelinkingsheetshallbecountersignedbytheotherparty.
11.3ErectionandTestRun
11.3.1TheErectionshallbecompletedbytheBuyerin____()daysfromtheeffectivedateoftheContract.TheSeller’sChiefRepresentativeshallarriveattheJobSite____()dayspriortothebeginningoftheErection.
11.3.2WhenErectioniscompletedandinfullconformitywithrequirementsoftheTechnicalDocumentation,aCertificateofCompletionforErectionoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.ThedateofsigningsaidCertificateshallbedeemedasthedateofcompletionofErection.
11.3.3AssoonasthecompletionofErection,TestRunforsinglemachineandthewholesystemoftheEquipmentshallbestarted.
11.3.4WhenTestRunhasbeensuccessfullyperformed,aCertificateofCompletionforTestRunoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.ThedateofsigningthesaidCertificatesshallbedeemedasthedateofcompletionofTestRunoftheEquipment.
11.4CommissioningandPerformanceTest
11.4.1Within____()daysafterthecompletionoftheTestRun,theBuyershallmakeavailablequalifiedoperationandmaintenancepersonnel,rawmaterials,spareparts,utilitiesandothermattersrequiredfortheCommissioning.Detailedproceduressuchasinstrumentcalibrating,itemsofrecording,samplingmethodsandanalyzingmethods,whicharenecessaryfortheCommissioningshallbediscussedandagreeduponbytheChiefRepresentativesofbothparties.
Ifintheopinionofbothparties,theEquipmentisreadyfortheCommissioning,bothpartiesshallconfirmthereadinessfortheCommissioninginwriting.
11.4.2TheCommissioningoftheEquipmentshallbestartedimmediatelyaftertheconfirmationofthereadinessfortheCommissioning.TheCommissioningperiodshall____()daysaftercommencementoftheCommissioning.
11.4.3WhentheSellerandtheBuyerconsiderthatstableoperationoftheEquipmenthasbeenachieved,thedateofPerformanceTestshallbefi_edbyChiefRepresentativesofbothparties.
11.4.4TheSellershallhavetherighttoaccesstothelaboratoryandtestingfacilitiesinordertotakesamplesandmakeanalyticaltests.ThesampletakingandanalyticaltestduringtheCommissioningperiodwillbedoneinthepresenceoftheChiefRepresentativesofbothparties.
11.4.5DuringtheperiodofCommissioninguntilAcceptanceoftheEquipment,theSellermayusetheBuyer’sstoredspareparts.ShouldtheBuyer’sstoredsparepartsbeusedbytheSellerduetotheSeller’sresponsibility,theSellershallreplenishthestoreswiththesameintimeatJobSite;otherwisetheSellershallprovidethesameattheBuyer’scostsupontheBuyer’stimelyrequest.
11.4.6IftheresultofPerformanceTesthasreachedtheguaranteefiguresasperAppendi_1,theAcceptanceCertificateoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.
11.4.7IfthePerformanceTestcannotmeetguaranteefiguresspecifiedinAppendi_1,bothpartiesshalljointlymakeinvestigationssoastofindoutthereasonforclarifyingtheresponsibility.
11.4.8IftheguaranteefiguresarenotmetduetotheSeller’sreason,theBuyershallagreetogiveane_tensionof____()monthssothattheSellercanmakeimprovementoradjustmenttotheEquipmentandconductfurtherPerformanceTest.Allthecostsande_pensesformakingimprovementoradjustmenttotheEquipmentshallbebornebytheSeller.
11.4.9Duringthee_tensionperiod,iftheguaranteefiguresarestillnotmetduetotheSeller’sreason,theSellershallpaytheliquidateddamagesasperAppendi_1totheBuyeragainsttheAcceptanceCertificatesignedbybothparties.
TheSeller’saggregateliabilitytopayliquidateddamagesforfailuretoattaintheperformanceguaranteesshallnote_ceed____()percentoftheEquipmentprice.TheSellershallhavenofurtherliabilitywhatsoevertotheBuyerinrespectofsuchfailureafterpaymentoftheliquidateddamages.
11.4.10Ifthenon-achievementoftheguaranteefiguresisduetothereasonsnotattributabletotheSeller,theSellershallagreetogiveane_tensionof____()months.Duringthee_tensionperiodallcoststheretoincurredfortheadjustmentoftheEquipment,aswellasthecostsande_pensesfortheSeller’stechnicalpersonnelshallbebornebytheBuyer.IncasetheguaranteefiguresstillcannotbeachievedduetothereasonsnotattributabletotheSellerinthee_tensionperiod,theEquipmentshallbeacceptedbytheBuyer.BothpartiesshallsigntheAcceptanceCertificate.
11.5Acceptance
11.5.1AcceptanceshalloccurinrespectoftheEquipmentwhen:
(a)PerformanceTesthasbeensuccessfullycompletedaspertheArticle11.4.6.;or
(b)ThePerformanceTesthasnotbeencompletedduetothereasonsnotattributabletotheSellersuchasdelayedcivilconstruction,lackofand/oranyotherinconformityofrawmaterials,sparepartsoftheBuyer’sscopeofsupplyunderAppendi_2,andutilitieswiththerequirementsoftheContractinthe____()monthsfromthedateofBillofLadingoftheLastShipment;or
(c)TheSellerhaspaidtheliquidateddamagesasperArticle11.4.9;or
(d)TheguaranteefiguresstillcannotbereachedduetoreasonsnotattributabletotheSeller’sreasoninthee_tensionperiodasspecifiedinArticle11.4.10;or
(e)TheBuyertakesthesinglemachineandthewholesystemoftheEquipmentintousewithouttheSeller’sapproval.
11.5.2AtanytimeafteranyoftheeventssetoutinArticle11.5.1hasoccurred,theSellermaygiveanoticetotheBuyerrequestingtheissuanceoftheAcceptanceCertificate.
11.5.3TheBuyershallwithinseven(7)daysafterreceiptoftheSeller’snotice,issuesuchAcceptanceCertificate.
11.5.4Ifwithinseven(7)daysafterreceiptoftheSeller’snotice,theBuyerfailstoissuetheAcceptanceCertificateorfailstoinformtheSellerinwriting,withconvincingevidence,ofthereasonwhytheBuyerhasnotissuedtheAcceptanceCertificate,theEquipmentshallbedeemedhavingbeenacceptedontheseventhdayoftheSeller’ssaidnotice.
11.5.5AftertheAcceptance,theSeller’sresponsibilitiesandobligationsundertheContractshallbedeemedhavingbeenfulfillede_ceptthoseasstipulatedinArticle12and14.
Article12GuaranteeandWarranty
12.1TheSellerguaranteesthat:
(a)TheEquipmentsuppliedbytheSellershallbenewandmadeofadequatematerials,andinconformitywiththetechnicalrequirementsoftheContract;
(b)TheTechnicalDocumentationshallbecomplete,clearandcorrect.
12.2TheperiodofwarrantygivenbytheSellerunderArticle12.1shallbe____()monthsfromthedateofAcceptanceor____()monthsfromthedateofLastShipment,whichevercomesearlier.
12.3DefectoftheEquipment
12.3.1DuringtheWarrantyPeriod,shouldanydefectduetoinferiormaterialsorbadworkmanshipoftheEquipmentbefoundundernormaloperation,theBuyershallgivetheSelleranoticestatingthedetails,togetherwithallavailableevidence.
TheSellershalltakeimmediateactiontoeliminatethedefectattheSeller’se_penseswithintheperiodagreedbybothparties.
12.3.2Ifcertaindefectcannotbeeliminateddespiteofseveralattempts,theSellershallreplacethedefectivepartswithnon-defectivepartsattheSeller’scostsande_penses.
12.3.3IfthedefectiseliminatedbytheBuyerhimself,subjecttotheSeller’spriorwrittenconsent,allthedirectcostsande_pensesthusincurredshallbebornebytheSeller.
12.3.4TheSellermayreducethepriceofthedefectiveEquipmentaccordingtothedegreeofinferiorityore_tentofdamageasagreedbybothparties.AfterthereductiontheSellershallbereleasedfromitsobligationsandliabilities.
12.3.5DuringtheWarrantyPeriod,shouldanydefectduetotheBuyer’simproperoperationormaintenancebefound,theSellerwillprovidetechnicalassistancetoeliminatethedefectorreplacethedefectedpartsuponBuyer’srequests.Allthecostsande_pensesthusoccurredshallbebornebytheBuyer.
12.3.6SubjecttoArticle12.3.1,TheSellershallnotberesponsibleforanydefectordamagetotheEquipmentarisingoutofanycircumstancesincludingbutnotlimitedtothefollowingcauses:
(a)CombinationoftheEquipmentwithanymachinery,and/orcomponentotherthanthosesuppliedbytheSeller;or
(b)Alteration,modificationorrepairwithouttheSeller’spriorwrittenconsent;or
(c)FailureoftheBuyertofollowtheTechnicalDocumentationandinstructionsoftheSeller,includingtheBuyer’simproperoperationandmaintenance;or
(d)Normalwearandtear.
12.4DuringtheWarrantyPeriod,shouldtheTechnicalDocumentationsuppliedbytheSellerbefoundincomplete,unclearorincorrectduetotheSeller’sreason,theSellershallbeliabletosupplement,replaceorcorrecttheTechnicalDocumentationfreeofcharge.
12.5TheSellershallinnorespectbeunderstoodorinterpretedasliableforthecommercialdevelopmentoftheContractProducts.TheBuyershallundertaketheriskofthecommercialdevelopmentoftheContractProducts.
12.6Innocircumstances,whetherasaresultofbreachofcontract,warranty,indemnity,tort(includingnegligence),strictliability,orotherwise,shalltheSelleroritssubcontractorsorsuppliersbeliableforlossofprofitorrevenues,lossofproduction,lossofuse,lossofinformationordata,costofcapital,costofsubstituteequipment,facilities,servicesorreplacementpower,downtimecosts,claimsoftheBuyer’scustomersforsuchdamages,orforanyspecial,consequential,incidental,indirectore_emplarydamages.
12.7NotwithstandinganythingtothecontraryprovidedintheContract,theaggregateliabilityoftheSellertotheBuyer,onallclaimsofanykind,whetherincontract,warranty,indemnity,tort(includingnegligence),strictliability,orotherwise,arisingoutoftheperformanceorbreachoftheContractoruseofanyEquipmentore_plorationofthePatentand/orKnow-howshallnote_ceed____()percentofthetotalContractprice.
12.8AllContractualobligationsoftheSellershallbedeemedashavingbeenfulfilleduponthee_pirydateoftheWarrantyPeriod.
Article13IntellectualPropertyRight
13.1TheSellerrepresentsthatitisentitledorauthorizedtograntthelicensetotheBuyertousethePatentand/orKnow-howforthepurposeasspecifiedinArticle3.
13.2TheBuyershallnotusesuchPatentand/orknow-howreceivedfromtheSellerforanypurposeotherthanthatasspecifiedinthisContract.
13.3AnyintellectualpropertyrightorothertechnicalinformationgrantedbytheSellertotheBuyershallremainthepropertyoftheSeller.InnocircumstancesshallanytermsandconditionsinthisContractbeconstrued,deemed,orinterpretedastransferoftitletotheBuyerofanyinformationwhichmaybedeliveredtooraccessedbytheBuyer.
